Description

Union Pacific is seeking a detail-oriented and proactive Assistant Tax Attorney to support our legal and tax planning teams in managing complex tax matters. This role focuses on legal research, tax appeals and litigation, legislative review and drafting and regulatory compliance. The ideal candidate will have a strong foundation in tax law, excellent analytical skills, and the ability to represent Union Pacific in legal proceedings and negotiations with tax authorities.

Accountabilities

Legal Research & Advice

Conduct in-depth legal research on federal, state, local, and international tax laws. Provide legal analysis and written opinions on tax implications of business transactions, mergers, and reorganizations. Draft and review legal documents related to commercial transactions, tax planning, tax disputes and tax compliance. Tax Litigation & Appeals

Represent Union Pacific in tax litigation and appeals before administrative agencies and courts. Prepare tax appeals and protests, legal briefs, motions, and other filings in support of the company’s tax positions. Collaborate with external legal counsel and internal stakeholders to develop and implement litigation strategies. Regulatory & Legislative Support

Monitor and interpret changes in state, federal and international tax legislation and regulatory developments. Assist in drafting legislation, comment letters and advocacy materials for legislative and regulatory initiatives. Support Union Pacific’s lobbying efforts by providing legal insights on proposed tax laws. Cross-Functional Collaboration

Work closely with finance, law, public affairs and external advisors to ensure legal compliance and strategic alignment. Participate in structuring transactions to optimize tax outcomes within legal boundaries.

Qualifications - Required

Juris Doctor (JD) from an accredited law school. Admission to practice law in at least one U.S. jurisdiction. 3–5 years of experience in tax law, preferably in a law firm or corporate legal department. Strong legal research, writing, and analytical skills. Excellent communication and interpersonal skills. Proficiency in legal research tools and Microsoft Office Suite.

Qualifications - Preferred

LL.M. in Taxation or Master of Accounting (MAc).

Experience with tax litigation and/or administrative appeals.

Familiarity with transportation or railroad industry tax issues.

Physical and Mental Job Requirements

This position requires extended periods of sitting and extended hours in front of computer screens.

Maintains concentration, focuses on tasks and can make timely decisions.

Travel 10-20% of the time.

The final salary of the selected candidate for this role will be set based on a variety of factors, including but not limited to, experience, education, specialty and training. This position also includes additional compensation and benefits offered by Union Pacific.

This position is eligible for participation in the Union Pacific Annual Compensation Program. This is a pay-for-performance program which administers annual salary adjustments, cash incentive bonuses and stock equity as determined by company performance, individual performance, and program guidelines. Additionally, this position is eligible for health and welfare benefits, retirement, financial planning benefits and paid and unpaid leave.
