M&A TAX PLANNING CONSULTING OPPORTUNITY
HIGHLY TRANSACTIONAL M&A TAX ENGAGEMENT – This is an ideal opportunity for an experienced M&A Tax professional looking to support a highly transactional environment with a variety of transactions annually across all stages of the M&A process.
UTILIZE TECHNICAL M&A TAX EXPERTISE – This consultant will play a key role across the transaction lifecycle, supporting structuring, tax due diligence, transaction document review, modeling oversight, and post-close integration. The role will partner closely with internal tax teams, legal teams, modeling experts, and outside advisors.
SCOPE – This is a deal-cycle-driven role where structuring, diligence, and transaction document review will be front-loaded around signing and closing activity. The post-close component will focus on transitioning transactions to the tax provision team through handoff memos, presentation materials, and compliance checklists. The underlying post-close execution will remain with the tax provision team.

Key Responsibilities:
· Support tax structuring and due diligence across a variety of M&A and strategic transactions
· Review transaction documents and identify key tax provisions, risks, and exposures
· Partner with internal teams and external advisors on transaction tax modeling and technical analysis
· Provide guidance on areas such as tax-free reorganizations, Section 382, tax attributes, basis step-ups, and purchase price allocation
· Support the post-close tax handoff and integration process
· Collaborate with tax, legal, finance, and external advisors to evaluate and resolve complex transaction tax matters
Requirements:
· Experience with a variety of M&A and strategic transaction structures
· Strong U.S. federal M&A tax experience working through all stages of the M&A process
· Experience reviewing tax provisions in transaction agreements; negotiation experience is highly preferred
· Strong understanding of transaction tax modeling and technical M&A tax issues; hands-on modeling experience is preferred
· Cross-border tax diligence experience is a plus
· Strong communication and stakeholder management skills
· Proactive, analytical, and adaptable with the ability to quickly assess complex transactions and identify key tax risks
· JD background is highly desirable
· REIT and technology industry expertise is highly preferred
· Big 4 and/or in-house experience preferred
